Numeral Limited’s Outsourcing to Director’s Private Firm Raises Governance Red Flags

The late-2023 rebranding of Go Life International into Numeral Limited has ushered in a corporate governance structure that warrants intense scrutiny, primarily due to a highly questionable related-party arrangement. Executive Directors Dave Van Niekerk and Neville Graham have centralized the listed entity’s financial oversight by outsourcing its internal financial preparation to Numeral Group XII (Pty) Ltd, a private South African firm where Van Niekerk serves as CEO. This opaque setup bears a sharp resemblance to the administrative frameworks that preceded massive capital destruction at several of Van Niekerk’s former ventures, including a R1 billion loss at Blue Financial Services and the tax-enforced bankruptcy of MyBucks S.A. While Van Niekerk routinely contests these historical narratives and is currently fighting a SZL 335.24 million civil default judgment in Eswatini, the lack of transparency regarding the fee structures, fund flows, and operational boundaries of this new outsourcing contract leaves minority shareholders dangerously exposed. Given the severe historical losses absorbed by retail investors across his previous enterprises, the burden now falls squarely on exchange regulators and statutory enforcement bodies to interrogate these inter-company financial structures and demand full accountability.
